3、okimportandexportcorporation根据招标编号为的年外文原版期刊期刊采购项目项目(以下简称：本项目)的招标结果，乙方为中标人。现甲乙双方根据中华人民共和国政府采购法、中华人民共和国合同法的相关规定，经友好协商，就以下事项达成一致并签订本合同：Inaccordancewiththebiddingresultsofforeignlanguageoriginalperiodicalprocurementprojectofyear(hereinafterreferredtoasthisproject,)withbiddingRef.No.zpartyBisthewinningbi

8、detailsasfollows:6、验收Acceptancecheck6.1验收应按照招标文件、乙方投标文件的规定或约定进行具体如下：6.1AcceptancecheckshallbecarriedoutinaccordancewiththeregulationsoragreementofthebiddingdocumentandpartyB,sbiddocumentthedetailsasfollows:甲方对乙方供应的期刊经检查并认为达到技术质量要求的，给予签收。甲方在期刊到达指定地点之日起10个工作日内验收完毕。验收过程中，如发现收到的期刊与发货清单不符，或有破损、污损等质量问题，图书
9、馆应及时通知乙方，乙方应给予补发、换发。PartyAshall,throughinspectiontomeetthetechnicalqualityrequirements,signandreceivetheperiodicalssuppliedbyPartyBandcompletetheacceptancecheckwithin10workingdaysupontheperiodicalsarrivalatthedesignatelocation.Intheprocessofacceptance,ifitisfoundthattheperiodicalsreceivedfailtoconfo
10、rmtothedeliverylist,oranyqualityproblemssuchasbreakageanddefacementfound,thelibraryshall,intimeznotifyPartyBwhichshallreplaceorchangethesame.7、合同款项的支付Paymentofthecontractamount合同款项的支付应按照招标文件的规定进行，具体如下：Paymentofthecontractamountshallbemadeinaccordancewiththeprovisionsofthebiddingdocuments,asfollows:支
11、付方式：供货方提供全额的正式发票，采购人一次性付清货款。付款时间：不迟于一年一月日。Paymentmethod:Thesupplierprovidesorotherwisemakeavailableafullofficialinvoice,andpaymenttime:nolaterthandaymonthyear.8、履约保证金8. Performancebond有，具体如下：中标金额的2%说明：乙方在签订政府采购合同前三日内应向甲方缴纳合同总金额2%的履约保证金（元），该履约保证金于履约结束后且乙方无违约的前提下无息退还。Yeszthedetailsareasfollows:2%ofthe

13、9. Validtermofthecontract自一年一月一日至一年一月一日Fromdaymonthyeartodaymonthyear10、违约责任10. Defaultresponsibility10.1 有下列情况发生，甲方将向乙方发出违约通知书，并要求乙方承担赔偿责任：10.2 ProvidedthatifthefollowingcircumstancesoccurzPartyAwillissueanoticeofbreachofcontracttoPartyBandrequirePartyBtobeliableforcompensation:10.1 l乙方未按照合同规定的要求交付
14、合同货物和提供服务。10.1.1 PartyBfailstodeliverthecontractgoodsandprovideservicesasrequiredbythecontract10.1.2 乙方在收到图书馆要求补缺或更换破损期刊的通知后30日内没有补足或更换外文原版期刊。10.1.3 PartyBfailstomakeuporchangetheperiodicalsoforiginalforeignlanguagewithin30daysafterreceivingthenoticeofthelibrarytosupplythelackorchangethedamagedperio
15、dicals.10.1.4 乙方未能履行合同规定的其他责任。10.1.5 PartyBfailorisunabletoperformanceofotherliabilitieshereof.10.2 乙方承担赔偿责任包括：10.2PartyBScompensationresponsibilityinclude:10.2.1 在大学图书馆同意延长的期限内交付进口原版期刊，并承担由此给甲方造成的损失。10.2.2 DeliveryofimportedoriginaljournalsinthelibraryconsentedextendeddurationinadditiontobearthelossescausedtothepartyA.10.2.3 在大学图书馆规定的时间内，乙方对其供应有质量问题的进口原版期刊负责更换并承担因此发生的费用。如乙方无法更换，受损期刊应作降价处理。降价幅度由甲、乙双方协商决定。10.2.4 PartyBshall,withinthetimespecifiedbytheuniversitylibrary,beresponsibleforthereplacementandbearthepaymentofimportedoriginalperiodicalswithqualitydefects.IfPartyBi
