1、国际合同中的鉴于条款国际合同中的鉴于条款Whereasclause鉴于条款也叫叙述条款、说明条款、陈述条款，主要是阐明缔约双方签订合同的初衷或达到的目的，或签订该合同所依赖的事实状态。该条款多出现在一些涉外合同。鉴于条款具有相当重要的作用，如鉴于条款中写明了双方当事人的合同目的，在双方对合同履行内容发生争议的时候,此时鉴于条款就相当于一个辅助评价标准，有一定的证明作用买卖双方同意按照下列条款签订本合同：TheSellerandtheBuyeragreetoconcludethisContractsubjecttothetermsandconditionsstatedbelow:本合同由甲乙双方

9、HerebyAgreeasFollows:双方本着平等互利的原则，经友好协商，依照有关法律，同意按照本合同的条款，建立经销关系。双方现协议如下：ThisContractismadebyandbetweentheBuyersandtheSellers,wherebytheBuyersagreetobuyandtheSellersagreetoselltheundermentionedcommodityaccordingtothetermsandconditionsstipulatedbelow:买方与卖方就以下条款达成协议：NOWzTHEREFORE,forandinconsiderationo

10、ftheforegoingpremisesandthemutualcovenantshereinaftersetforth,BUYERandSELLERherebymutuallyagreeasfollows:因此，现在考虑到上述的前提和以下说明双方共同的约定，采购方和销售方在此共同协商如下：双方通过友好协商同意就下列条款签订本合同。TheBuyerandtheSeller,throughfriendlynegotiation,haveagreedtosuchengagementuponandsubjecttothetermsandconditionshereinafterappearing.

11、WhereasPartyAandPartyB,adheringtotheprincipleofequalityandmutualbenefitandthroughfriendlyconsultation,agreetojointlyinvesttoestablishanewjointventurecompanyinChina(hereinafterreferredasJointVenture).TheContracthereunderismadeandconcluded.鉴于：按照平等互利的原则，甲方与乙方经过友好协商，决定共同投资在中国建立合资经营公司(以下称合资企业)，为此达成如下合同。买

12、卖双方同意按下述条款购买出售下列商品并签订本合同。ThisContractismadebyandbetweentheBuyerandtheSeller,wherebytheBuyeragreestobuyandtheSelleragreestoselltheundermentionedcommoditysubjecttothetermsandconditionsstipulatedbelow.WHEREAStheEmployerisdesirousthatmanpowercanberenderedavailablefortheconstructionofHigh-RiseResidential

13、ComplexinBaghdad,Iraq;WHEREAStheContractorisdesiroustoprovidethemanpowerfortheWorks;鉴于：雇主想要雇请劳动力建造伊拉克巴格达的高层住宅综合大楼；鉴于：承包人想为此工程提供劳动力；WhereastheBorrowerhasrequestedtheBanktoextendtotheBorroweratermloanintheprincipalamountofOneMillionUSDollars(US$1,000,000)undertheterms,conditionsandprovisionsofthisAgre

14、ement;and鉴于：根据本协议规定的条件和款项，借款人业已向银行要求为借款人提供一笔本金为100万美元(US$IzOOOzOOO)的定期贷款；WhereastheBankispreparedtomakesuchaloanavailabletotheBorrowerundertheterms,conditionsandprovisionsofthisAgreement;鉴于：根据本协议规定的条件和款项，银行已准备向借款人提供此项定期贷款；NowTherefore,inconsiderationofthemutualpromisescontainedherein,thePartiesheret
