6、I GeneralProvisions第一章总则Article1ForpurposesofregulatingtheadministrativelicensingactivitiesoftheChinaBankingandInsuranceRegulatoryCommission(uCBIRCn)anditslocalofficesandsub-officesconcerningChinese-fundedcommercialbanks,definingtheadministrativelicensingitems,conditions,proceduresandtimelimits,andp

7、rotectingthelawfulrightsandinterestsofapplicants,theseMeasuresaredevelopedinaccordancewiththeBankingSupervisionLawofthePeopledRepublicofChina,theCommercialBankLawofthePeoplesRepublicofChina,theAdministrativeLicensingLawofthePeoplesRepublicofChina,otherlawsandadministrativeregulations,andtherelevantd

8、ecisionsoftheStateCouncil.Article2ForthepurposeoftheseMeasures,uChinese-fundedcommercialbanksnincludeslargestate-controlledcommercialbanks,thePostalSavingsBankofChina(hereinafterreferredtoasustate-ownedcommercialbanksandTostalSavingsBanknrespectively),joint-stockcommercialbanksandurbancommercialbank

9、s,amongothers.Article3TheCBIRCanditslocalofficesshallimplementadministrativelicensingforChinese-fundedcommercialbanksinaccordancewiththeprovisionsissuedbytheCBIRContheimplementationproceduresforadministrativelicensingandtheseMeasures.第一条为规范银保 监会及其派出机构实施中 资商业银行行政许可行为， 明确行政许可事项、条件、 程序和期限,保护申请人合 法权益，根据

10、中华人民共 和国银行业监督管理法、 中华人民共和国商业银 行法和中华人民共和国 行政许可法等法律、行政 法规及国务院的有关决定, 制定本办法。第二条本办法所称 中资商业银行包括：国有控 股大型商业银行、中国邮政 储蓄银行（以下分别简称国 有商业银行、邮政储蓄银 行）、股份制商业银行、城 市商业银行等。第三条银保监会及 其派出机构依照银保监会 行政许可实施程序相关规 定和本办法，对中资商业银 行实施行政许可。第四条中资商业银 行以下事项须经银保监会 或其派出机构行政许可：机 构设立，机构变更，机构终 止，调整业务范围和增加业 务品种，董事和高级管理人 员任职资格，以及法律、行Article4Th

11、efollowingitemsconcerningChinese-fundedcommercialbanksshallbesubjecttoadministrativelicensingbytheCBIRCanditslocalofficesandsub-offices:theformation,modificationandterminationofaninstitution,theadjustmentofbusinessscopeandadditionofnewproducttypes,theofficequalificationsofdirectorsandseniorexecutive

12、s,andotheradministrativelicensingitemsprescribedbylawsandadministrativeregulationsordecidedbytheStateCouncil.Article5AnapplicantshallsubmitapplicationmaterialsinaccordancewiththeprovisionsonthecatalogueofandrequirementsfortheformatsofapplicationmaterialsfortheadministrativelicensingitemsoftheCBIRC.C

13、hapter II FormationofInstitutionsSection1FormationofInstitutionswithaLegalPersonStatusArticle6AninstitutionwithalegalpersonstatusofaChinese-fundedcommercialbanktobeformedshallmeetthefollowingconditions:(1) IthasbylawsincompliancewiththeCompanyLawofthePeople,sRepublicofChinaandtheCommercialBankLawoft

14、hePeoplesRepublicChina.(2) Itsregisteredcapitalispaid-incapital,theminimumamountofwhichisonebillionyuanoranequivalentinanyconvertiblecurrency.Theminimumamountofregisteredcapitalofaninstitutionwithalegalpersonstatusofanurbancommercialbankis100millionyuan.(3) Ithasdirectorsandseniorexecutiveswhoarequa

15、lifiedtoholdofficeandqualifiedpersonnelwhoarefamiliarwiththebankingbusiness.(4) Ithasasoundorganizationalstructureandcompletemanagementrules.政法规规定和国务院决定 的其他行政许可事项。第五条申请人应当 按照银保监会行政许可事 项申请材料目录及格式要 求相关规定提交申请材料。第二章机构设立第一节法人机构设立第六条设立中资商 业银行法人机构应当符合 以下条件：（一）有符合中华人民共 和国公司法和中华人民 共和国商业银行法规定的 章程；（二）注册资本为实缴资

16、本，最低限额为10亿元人 民币或等值可兑换货币，城 市商业银行法人机构注册 资本最低限额为1亿元人 民币；（三）有符合任职资格条件 的董事、高级管理人员和熟 悉银行业务的合格从业人 员；（四）有健全的组织机构和 管理制度；（五）有与业务经营相适应 的营业场所、安全防范措施(5) Ithasbusinesspremises,safetyprotectionmeasuresandotherfacilitiescommensuratewithitsoperations.(6) Ithasestablishedaninformationtechnologyframeworkcommensuratewithitsoperations,hasnecessary,safeandcompliantinformationtechnologysystemst
