3、econstructionforatotaloftwopackagestender:Part&-,PartyAisauthorizedbytheownertocallforbidding,theproposedbidbasedontheLaoMinistryofTransportSMOUsignedon,thetermsandconditionsareasfollows:-（一）合同内容Contentofthecontract乙方要在老挝沙湾拿吉省对沙湾拿吉至老堡电气化铁路基础与附属开发区建设部分的第五、第六共两个标段进行总承包施工。乙方有权组织具有合适施工资质和能力的建设队伍来进行施工,但必
4、须获得甲方和项目所有者的最终批准。PartyBensuredthattheyaretheprincipalsubstructure/foundationcontractorforLaos,SavannakhettoLaoBaoElectrifiedRailwayConstructionandtheaffiliateddevelopmentzoneconstructionforpartV&VI,atotaloftwotenders.PartyBisauthorizedtoorganizeappropriatequalifiedandcapableconstructionteamtocarryou
5、ttheconstructionworksubjecttothefinalapprovalofPartyAandprojectowner.(一)合同金额Thecontractamount本合同总金额为依据业主给予东盟经贸中心第二阶段总承包的部分项目暂定为6亿美元，以美元为结算币种。Thiscontractisbasedontheamountgivenbytheowner,toASEANEconomic&TradeCenterforthesecondphaseofthemaincontract,tentativelyscheduledforUSD600million,allsettlementw
6、illbeinUSD.这个金额是用单价乘实际工程量的方法计算出来的,这是指概算工程而言，是一个约数。至于分标段工程实际价款则根据实际工程数量及报价清单表进行支付，报价清单表的书写方法应是双方在合同中一致同意的。对乙方的支付要根据合同及其附件的规定。Thisamountiscomputedbasedontherealisticvolumeofworkmultiplybytheunitprice,whichreferstothebudgetaryestimateproject.Asforthesub-bidproject,thepaymentismadebasedonprojectquantity
7、andthequotedpricedetailedlisttable,theformatofthepricelisttableshouldbemutuallyconsentbybothparties.AllthepaymentstoPartyBareaccordingtotheprovisionsofthecontractanditsannexes.（五）查看工地SiteInspection乙方承认在签认合同之前已查看了土地及周围的环境，掌握了所有与工程施工有关或对施工有影响的情况，如地质土壤情况、水源、当地气候情况、道路、交通流量、劳动力提供范围等。PartyBacknowledgedtha
8、ttheyhaveexaminedthelandandsurroundingenvironment,understoodandmasteredalltheconstructionworksrelatedtooraffectingthesituation,suchasgeologyandsoilconditions,water,localclimateconditions,road,trafficflow,laborforcerange.（六）履约保证金DepositofPerformanceBond乙方应交履约保证金共计200万美元。其中在签署本中英文版合同并经老挝国家最高法院公证后的15天之
9、内递交100万美元（在开完新闻发布会,再递交履约保证金100万美元。（注：英文版合同文本是依据本中文版合同文本翻译而成,若有抵触之处以中文版本为准）。PartyBshoulddepositaperformancebondtotallingUSD2million,inwhichUSD1millionshouldbesubmittedwithin15daysaftersigningoftheChinese/EnglishversioncontractandofficiallycertifiedbytheLaoSupremeCourt.ThebalanceofUSD1millionwillbesub
10、mittedafterPressRelease.(Note:thetranslatedEnglishversioncontractisaccordingtotheChineseversion,shouldtherebeanyinconsistency,theChineseversionprevailed).（八）预付工程备料款及支付工程进度款Advancepaymentforprojectengineeringmaterial&workprogresspayment在乙方报价通过审核后，甲方即按审核后价格总额的20%向乙方预付工程备料款，乙方须向甲方提供相应金额的银行保函。在乙方预付工程备料款
11、用去60%时，乙方向甲方申请开始每次均按本合同执行价格总额的10%支付工程进度款。乙方亦须向甲方提供本合同执行价格总额10%相应金额的银行保函。该银行保函可重复为每次10%进度款支付担保。最后留5%作为工程保修金。工程保修金在24个月保修期满后10天内退还。Aftertheverification&approvalofPartyB,Ssubmission,PartyAwillthenpayadepositof20%asadvanceprojectengineeringfeetoPartyB,butpartyBhastoplaceaequivalentbankguaranteewithparty
12、A.Whenthesaiddepositusedupto60%,PartyBshallstartapplytopartyA10%ofthetotalcontractpriceeachtimeinaccordancetothecontractworkinprogress.PartyBhastoprovideabankguaranteeforthesameamounttoPartyA.Thebankguaranteecanberepeatedforeach10%oftheprogresspaymentsasPaymentGuarantee.Thelast5%willbeheldasretentionsumforprojectwarranty.Theretentionwillonlybereleasedwithin10daysaftertheexpiryofthe24monthswarrantyperiod.
