2、ofAgreement8、协议期限8.TermofAgreement甲乙双方本着互利互惠，诚实守信，优势互补的原则，经过友好协商.就甲方对于乙方生产太阳能电池组件中介合作事宜，达成如下协议：ThepartiesAandB,throughamicableconsultation,basedontheprincipleofmutualbenefit,honestyandtrustworthinessandcomplementaryadvantages,reachedthefollowingagreementonthePartyA,Sintermediarycooperationoftheprodu

3、ctionofsolarmodulesforPartyB:合作内容2.CooperativeContent根据甲乙双方协商，达成以下合作内容：Thefollowingcooperationcontentsarereachedinaccordancewiththenegotiationbetweenthepartieshereto.甲方介绍、协助和促成乙方与签订生产和买卖太阳能电池组件产品的合同；价格为。PartyAshallintroduce,assistandfacilitatePartyBtoconcludethecontractwithfortheproductionandsaleofs

4、olarmoduleproducts.各方的责任、权利和义务PartiesResponsibilities,RightsandObligations2.1甲方的责任、权利和义务2.1PartyA,sresponsibility,rightsandobligations:(1)甲方应认真与其推荐的客户进行联络，介绍并推广乙方的产品，并为乙方与客户的沟通、谈判、商务运作等相关商务活动提供商业咨询服务，最终促成乙方与采购商签订买卖合同；(1)PartyAshallliaiseseriouslywithitsrecommendedcustomers,introduceandpromotePartyBs

5、products,andprovidebusinessconsultingservicesforPartyBscommunication,negotiation,businessoperationandotherrelatedbusinessactivitieswithcustomers,andultimatelyfacilitateconclusionofthesaleandpurchasecontractbetweenPartyBandthepurchaser;2.2乙方的责任、权利和义务2.2PartyBsresponsibilities,rightsandobligations:乙方应

6、保证生产太阳能电池组件的质量和功率数量，全部承担对于出现的产品质量和功率数量不符合规范标准的责任。PartyBshallguaranteethequalityandpowerquantityofthesolarmodulesproduced,andfullyassumetheresponsibilityfortheemergenceofproductqualityandpowerquantitynotinlinewiththenormsandstandards.3咨询费与付款3Commissionandpayment3.1乙方向甲方支付的咨询费以实际的产品销售量为结算依据。合同约定的最低销售量

7、为。如果乙方销售量没有达到合同约定数量，乙方有权要求重新商定咨询费用；3.1TheconsultingfeepaidbyPartyBtoPartyAisbasedontheactualsalesvolumeoftheproducts.Theminimumsalesvolumeagreedinthecontractis.WherePartyBssalesvolumefailstoreachthecontractedvolume,PartyBhastherighttorequestarenegotiationoftheconsultingfee;3.2在乙方收到客户合同规定的货款后，通知甲方，甲方

8、开具正规商业发票。乙方收到发票后15个工作日内支付相应销售货物的咨询费。3.2PartyBshall,uponreceiptofthepaymentforthegoodsspecifiedinthecustomerscontract,notifyPartyAwhichissuetheformalcommercialinvoice.PartyBwillpaytheconsultingfeeforthecorrespondingsalesofgoodswithin15workingdaysuponreceiptoftheinvoice.4、违约责任4.LiabilityforBreach如果一方不

9、能按照本协议执行而给另一方造成了损失，受害方有权利要求对方给予相应的赔偿.Whereanypartyisunabletoperformthisagreementandcausedthelossoftheoppositeparty,thevictimhastherighttoaskforthecorrespondingcompensation.5、保密条款5.Confidentiality双方对因履行本协议而知悉对方的机密、情报、计划、产品等相关资料有保密的义务，未经对方书面同意，不得向第三方泄漏或作本协议以外的用途，否则应当赔偿对方因此遭受的经济损失。Eitherpartyheretohast

11、erefrom.6、争议解决6.Disputeresolution6.1、本协议之解释与适用以及因本协议产生的争议，均应依照中华人民共和国法律予以处理，并以乙方所在地法院为第一审管辖法院。6.1.TheinterpretationandapplicationhereofandthedisputesarisingherefromshallbedealtwithinaccordancewiththelawsofthePeoplesRepublicofChina,andthecourtwherePartyBislocatedshallbeIhejurisdictioncourtoffirstinstance.7、协议的终止7.TerminationofAgreement7.1、协议任何一方均可以提前三十(30)天书面通知的方式终止本协议。7.1.Eitherpartymayterminatethisagreementbygivingthirty(30)dayspriorwrittennotice.
