3、dUSDollarsonly5、装运期限：3月份装运Timeofshipment:shipmentduringMarchofthisyear.6、装运口岸：中国上海港Portofloading:Shanghaiport,China7、目的口岸：英国伦敦港Portofdestination:Londonport,Britain8、保险:Insurance由卖方按发票金额的110%投保水渍险，加保短量险，按1981年1月1日中国人民保险公司海洋运输货物保险条款为准。Insurancetobecoveredbythesellersfor110%oftheinvoicevalueagainstW.P.

4、AincludingshortageinweightasperandsubjecttotheOceanMarinClausesofthePeople7sInsuranceCompanyofChinadatedJan.I11981.9、付款条件:Termofpayment:凭保兑的、不可撤销的即期信用证在中国凭单付款。信用证以卖方为受益人，并允许分批装运和转船，该信用证必须在装运约15天前开到卖方，并在装船后在上述装运港继续有效15天。否则卖方无须通知即可有权取消本合同，并向买方索赔因此而发生的一切损失。Byconfirmed,irrevocableLetterofCreditinfavorof

7、bytheChinaCommodityInspectionBureau,andtransferableinsurancepolicy.11、装运条件：Termsofshipment装运船只由卖方安排，允许分批装运及转船。Thecarryingvesselshallbeprovidedbythesellers.Partialshipmentandtransshipmentareallowed.卖方于货物装船后，应将合同号码、品名、船名、装船日期以电报通知买方。Afterloadingiscompleted,thesellershallnotifythebuyersbycableofthecont

8、ractednumber,nameofcommodity,nameofthecarryingvesselanddateofshipment12、品质、数量、质量的异议与索赔:Quality/quantitydiscrepancyandclaim:货到目的口岸后，买方如发现货物品质或数量或重量与合同规定不符,除属保险公司或船公司的责任外，买方可凭双方同意的检验机构出具的检验证书向卖方提出异议。品质异议须于货到目的地口岸30日内提出，数量、重量异议须于货到目的地口岸15日内提出。卖方应于收到异议后30日内答复买方。Incasethequalityand/orquantity/weightarefo

9、undbythebuyerstobenbotinconformitywiththecontractafterthearrivalofthegoodsattheportofdestination,thebuyersmaylodgeclaimwiththesellerssupportedbybothparties,withtheexception,howeverzofthoseclaimsforwhichtheinsurancecompanyand/ortheshippingcompanyaretobeheldresponsible.Claimforqualitydiscrepancyshould

10、befiledbythebuyerswithin30daysafterthearrivalofthegoodsattheportofdestination,whileforquantity/weightdiscrepancyclaimshouldbefiledbythebuyerswithin15daysafterthearrivalofthegoodsattheportofdestination.Thesellersshall,within30daysafterreceiptofthenotificationoftheclaim,sendreplytothebuyers.13、不可抗力For

11、ceMajeure由于人力不可抗拒之事故，使卖方不能在本合同规定期限内交货或不能交货，卖方不负责任。但卖方须尽快以电报通知买方，并在事故发生后15天内以挂号信向买方提供由中国国际贸易促进委员会或有关机构出具的事故证明。IncaseofForceMajeurezthesellersshallnotbeheldresponsibleforlatedeliveryornon-deliveryofthegoodsbutshallnotifythebuyersbycableassoonaspossibleandgivethebuyersacertificatebytheChinaCouncilforth

12、ePromotionfoInternationalTradeorothercompetentauthoritiesbyregisteredmailissued.14、仲裁Arbitration在履行合同时合同双方如发生争议，双方应通过相互协商解决。如协商不成，则仲裁解决。仲裁应在中国上海进行，由中国国际贸易促进会对外经济贸易仲裁委员根据其仲裁程序进行仲裁。仲裁裁决是终局的，对双方都有约束力。仲裁费由败诉方承担。Anydisputesarisingformtheexecutionoforinconnectionwiththecontractshallbesettledthroughmutualc

13、onsultationsbetweenthepartiesthereto.Incasenosettlementcanbereachedthroughconsultations,thedisputesinquestionshallbesubmittedforarbitration.ThearbitrationshalltakeplaceinShanghai,Chinazandshall,inaccordancewithitsrulesofprocedure,beconductedbytheForeignEconomicandTradeArbitrationCommissionoftheChina
