3、址在日本东京的某相机制造公司与中国的某无线电厂签订,按照下列条款，甲方委托乙方采用甲方提供的必需零件和材料在南京组装数码照相机。ThisAgreementisenteredintobythemanufacturerofdigitalcamerainTokyoJapanandthemanufacturerofwirelessproductsinChina.PartyAshallentrustspartyBwiththemanufacturingofdigitalcamerawithallnecessarypartsandmaterialssuppliedbyPartyAundertheterms

4、andconditionsspecifiedasfollows:1、加工的商品、数量和包装要求CommodityandQuantitiesforProcessingCommodityandpackagingrequirements商品：数码照相机Products:DigitalCamera数量：总数为壹万台，分为两个型号。Quantity:10z000setsintotalwithtwomodels.包装：聚乙烯袋包装，然后每一纸盒装一台，10纸盒装一出口纸箱。Packing:Onesetistobepackedinapolybagzandthenpackedinapaperbox;10pap

5、erboxesaretobepackedinanexportcar-ton.2、组装加工费Processingcharges型号：Al型数码照相机每台加工组装费为：IOO美元；TheprocessingchargeforModelAlis100USDollar;型号：A2型数码照相机每台加工组装费为：120美元;TheprocessingchargeforModelA2is120USDollar;3、零件和材料PartsandMaterials3.1 加工所需要的零件和物料由甲方运到南京，倘若零件和物料短缺或损坏，甲方负责补齐或更换。Theparts,consumptionarticlesan

6、dmaterialsrequiredforprocessingwillbesenttoNanjingbyPartyA,andifthereisanyshortageorbreakageofthesepartsandmaterials,PartyAshallbeheldresponsibleforsupplyingadditionalreplacements.3.2 甲方向乙方提供组装两个型号的10z000台数码照相机所需的全部零件和材料，均按本协议所附清单办理。Allnecessarypartsandmaterialsforassembling10z000setsintotalwithtwom

7、odelssuppliedbyPartyAtoPartyBareasperthelistattachedhereto.3.3 若零件或材料型号误发，乙方应该向甲方退还全部错发货物，费用由甲方负担。ShouldawrongshipmentofmaterialsorpartsbesentbypartyA,PartyBshallreturntoPartyAforcompletereplacementattheexpenseofPartyA.3.4 乙方必须严格按照甲方规定的设计，使用甲方提供的零件和材料,加工组装数码照相机。AllpartsandmaterialssuppliedbyPartyAfo

8、rassemblingcamerashallbeprocessedbyPartyBstrictlyaccordingtothedesignspecifiedbyPartyA.4、付款Payments在成品装运前一个月，甲方以信用证或电汇支付乙方全部加工费用。PartyAshallpayPartyBbyL/CorT/Tcoveringthefullamountofprocessingchargesonemonthbeforetheshipmentofthefinishedproductsconcerned.5、装运Shipment乙方必须在双方约定的时间内完成数码照相机的加工组装和交货，但若发生

9、不可抗力事故时除外(关于装运的详细规定请见附录1)。PartyBmustcompletetheassemblingofalldigitalcamerasandeffectshipmentwithinthedatemutuallyagreedbythetwopartieswithoutanydelayunlessanyunforeseencircumstanceoccurswhichisbeyondcontrol.(Fordetails,seeAppendix1)6、零件和材料的损坏率Damagerateofpartsandmaterials在加工中，零件和材料的损坏率是2%,此部分零件和材料由

10、甲方供应。若损坏率超过2%,则超额部分的零件和材料费用由乙方承担。Thedamagerateofpartsandmaterialsinprocessingisallowedwithin2%andsucharateofsparepartsandmaterialsshallbesuppliedfreebyPartyA.Shouldthedamageratesurpass2%,PartyBshallbearthecostsoftheexpensesurpassingsuch.7、技术服务TeehniCaISerViCe若乙方需要，甲方同意随时派遣技术人员到中国帮助培训乙方技术人员，并该技术人员留在乙

11、方检验成品。PartyAagreestodispatchtechnicianstoChinatohelptrainthetechniciansofPartyBattherequestofthelatteratanytimeandallowsthesaidtechnicianstoremainwithPartyBforinspectionoffinishedproducts.8、进出口手续Proceduresofimportandexport有关本协议的进出口手续由乙方同中华人民共和国政府办理。Allimportandexportproceduresinconnectionwiththiscon

12、-tractshallbetakenbyPartyBwiththegovernmentofPRC.乙方根据甲方的指示把全部数码照相机发运到国外买主，甲方承担由此所发生的一切费用。AllDigitalCameraprocessedbyPartyBshallbeshippedtotheforeignbuyersappointedbyPartyAaccordingtoinstructionsgivenbyPartyAinduetimezandtheexpensesoccurredthereinshallbebornebyPartyA.9、保险InSUranCe甲方负责对材料和成品保险。若甲方要求，乙

13、方可代为保险，甲方负担费用。PartyAshallinsuranceboththematerialsandfinishedproducts.OruponPartyA,srequest,PartyBwillattendtotheinsuranceatPartyA,sexpenses.10、仲裁Arbitration凡因执行本合同所发上的或与合同有关的一切争议，双方应友好协商解决。如果协商不能解决应提交中国国际经济贸易仲裁委员会进行仲裁的、仲裁裁决是终局的，对双方都有约束力。仲裁费用除另有裁决外由败诉一方承担。Alldisputesinconnectionwiththecontractorthee

14、xecutionthereof,shallbesettledamicablebynegotiation.Incasenosettlementcanbereached,thecaseunderdisputemaythenbesubmittedtothezzChinaInternationalEconomicandTradeArbitrationCommission“forarbitration.ThedecisionmadebytheCommissionshallbeacceptedasfinalbindinguponbothpartiesforsettingthedispute.Thefees

15、,forarbitrationshallbebornebythelosingpartyunlessotherwiseawarded.11、其他条款Miscellaneous11.1 数码照相机的商标全部由甲方提供，若发生违法事件，甲方对其承担全部法律责任。ThetrademarksofDigitalCamerawillbesuppliedbyPartyAandshouldtherebeanyillegalinvolvement,PartyAistobeheldfullyresponsible.11.2 若需要在中国购买零件和材料，其质量必须符合标准，并须经甲方同意。Allthepartsandmaterialszifnecessary,purchasedinChinabyPartyBforDigitalCamera,theirqualitymustmeasureuptostandardsandbeapprovedbyPartyAbeforehand.11.3 附件1是本协议的不可分割部分。Appendix1isanintegralpartofthiscontract.11.4本协议一式2份，甲、乙双方各执一份。ThiscontractismadeinduplicateandPartyAandPartyBretainonecopyrespectively.（签署部分略）
