3、方按乙方实际供货量对账结算支付货款Q1.1MineraladulterantanditsquantityandpriceNote:Thequantityhereofisonlytemporaryestimateofthequantity,thepartiesheretoshallcheckaccountsandsettlethepaymentforgoodssubjecttotheactualsupplyquantitybyPartyB1.2其他约定1.2OtherAgreements1.2.1甲方支付的矿物掺合料价款：甲方签收确认矿物掺合料前所发生的费用，包括：1.2.1Priceofmin
4、eraladmixturepaidbyPartyA:CostsincurredbeforePartyAsigntoacknowledgemineraladmixture,including:2.1乙方在供货前日内将具有资质的检测机构出具的同批次产品的质量检验报告提供给甲方。乙方在每批次供货时随车将所供应的产品的合格证书、出厂检测报告提供给甲方。2.1PartyBwillprovidePartyAwiththequalityinspectionreportofthesamebatchofproductsissuedbyqualifiedtestinginstitutewithindaysprio
5、rtosupply.PartyBwillprovidePartyAwiththecertificateofconformityandfactoryinspectionreportoftheproductssuppliedwitheachbatchofsupply.2.2乙方提供的矿物掺合料的各项性能指标需符合标准中的质量要求。上述执行标准如有变动的，以乙方供货时现行国家、地方和行业标准为准。若不符合上述要求，甲方有权向乙方索赔由此造成的经济损失。2.2TheperformanceindexesofthemineraladmixtureprovidedbyPartyBshallmeetthequ
6、alityrequirementsinthestandard.Whereanychangeintheaboveimplementationstandards,thecurrentnational,localandindustrialstandardsshallprevailatthetimeofPartyBssupplyandPartyAhastherighttoclaimtheeconomiclossescausedbyPartyBforanynon-conformationtoaboverequirements.2.5若甲方对矿物掺合料有特殊要求或乙方就矿物掺合料向甲方做出特殊承诺的，双方
7、协商一致后应另行签订书面补充协议(格式见附件)并据此执行。2.5WherePartyAhasspecialrequirementsonmineraladmixtureorPartyBmakesspecialcommitmenttoPartyAonmineraladmixture,thepartiesshall,throughconsensus,concludeaseparatewrittensupplementaryagreement(theformatreferstoannex)andimplementaccordingly.3.7交付数量3.7QuantityDelivered计量方式为过
8、磅计量。若甲方收货时过磅数量与乙方出库过磅数量的差小于或等于即在合理损耗范围内，则交付数量以甲方过磅数量为准，并按规定扣除合理损耗及含水；Themeasurementmethodisweighbridgemeasurement.WherethedifferencebetweenPartyA,sweighedquantityatreceiptandPartyB,sweighedquantityatdispatchislessthanorequalto,i.e.,withintherangeofreasonableloss,thedeliveredquantityshallbebasedonPar
9、tyAsweighedquantity,andreasonablelossandwatercontentshallbedeductedinaccordancewiththeregulations;若甲方收货时过磅数量与乙方出库过磅数量的差大于_，则由甲乙双方协商解决，如不能达成一致，则应以甲乙双方共同指定的第三方过磅数量为准。wherethedifferencebetweentheweighedquantityatthetimeofreceiptbyPartyAandtheweighedquantityatthetimeofshipmentbyPartyBismorethan,thediffe
10、renceshallberesolvedthroughconsultationbetweentheparties,wherenoagreementcanbereached,theweighedquantityofthethirdpartyjointlydesignatedbyPartyAandPartyBshallprevail.4.3.2双方约定按以下第种方式付款：(1)一次性付款：本合同约定的货物全部供应完毕且验收，经双方结算后一日内，甲方一次性支付全部货款。4.3.2Thepartiesagreetomakepaymentinthefollowingways:(1)Lump-sumpay
11、ment:PartyAshalleffectlump-sumpaymentofallthecostsforthegoodsstipulatedinthiscontractwithindaysuponsupplementandacceptanceofallthegoods.(2)分阶段付款：本合同签订后一日内甲方向乙方支付一元作为预付款.本合同约定的货物全部供应完毕且验收，经双方结算后一日内，甲方按照实际结算量向乙方支付剩余货款。(2)Paymentbyinstallments:PartyApaysPartyByuanasadvancepaymentwithindaysuponconclusio
12、nofthiscontract,andshallpayPartyBtheremainingpaymentsubjecttotheactualsettlementquantitywithindaysupondelivery,acceptanceofallthegoodsandthesettlementbytheparties.4.4.1乙方向甲方提供发票票种为：口增值税专用发票口增值税普通发票国税通用普通机打发票。乙方提供的发票税率为%04.4.1ThetypesofinvoicesprovidedbyPartyBtoPartyAareasfollows:VATspecialinvoiceVAT
13、ordinaryinvoicegeneralordinarymachine-printedinvoiceforStatetax.ThetaxrateoftheinvoiceprovidedbyPartyBis%.4.4.2乙方应当按照本合同的约定为甲方开具发票。如遇国家税收法律政策变化影响税率及开具发票行为的，甲乙双方协商解决。4.4.2PartyBshallissueinvoicesforPartyAinaccordancewiththeagreementhereof.IncaseofanychangeinState,Staxlawsandpoliciesaffectingthetaxrat
14、eandinvoicingbehaviour,PartyAandPartyBshallnegotiateandsettlethesame.5.1甲方义务5.1PartyAsobligations5.1.1甲方应当提前日就送货的具体时间、地点及收货人等情况与乙方进行确认，以保证乙方有足够的供货准备时间，并提供必要的协助。5.1.1PartyAshall,daysinadvance,confirmwithPartyBonthespecifictime,placeandconsigneeofdeliverytoensurethatPartyBhasenoughtimetopreparefordeli
15、veryandprovidenecessaryassistance.5.1.2甲方应当按照合同约定办理货款对账、结算并支付货款。5.1.2PartyAshallhandlethecheck,settlementandpaymentofgoodsinaccordancewiththecontract5.13甲方应根据生产需要，提前一小时以书面传真或其他有效方式向乙方提出采购计划，以保证乙方有足够的供货准备时间。在原材料供应紧张时，双方可协商确定供货量。5.1.3PartyAshall,hoursinadvancesubjecttotheproductionneeds,submittheprocu
16、rementplantoPartyBbywrittenfaxorothereffectivemeans,soastoensurePartyBhasenoughtimetoprepareforthesupply.Incaseoftightsupplyofrawmaterials,thepartiescannegotiatetodeterminethesupplyquantity.5.1.4甲方应对乙方做好质量、环境、安全、职业健康相关交底。5.1.4PartyAshalldoagoodjobofdisclosuretoPartyBrelatedtothequality,environment,safetyandoccupationalhealth.5.2.1乙方应当按照合
