5、ntareanintegralpartoftheWorksofMainContractandiswilling,withinthescopeoftheSubcontractAgreementandwithintheagreedtimelimit,toundertaketheobligationstocarryoutandcompletetheInstallationWorksandrepairanydefectstherein,tosafeguardthequalityoftheInstallationWorksinadditiontofulfilltheobligationsofhealth

6、,safetyandenvironmentalprotection.Itisherebyagreedasfollows.1 .词语含义1.Meaningofwords分包合同协议书中的词语和措辞应与下文提及的通用合同条件和专用合同条件中分别赋予它们的含义相同。ThewordsandexpressionsusedhereinfortheSubcontractAgreementshallhavethemeaningsgiventothesameintheGeneralConditionsofContractandtheParticularConditionsofContract(ifany)ref

7、erredtobelow.分包合同文件2 .DocumentsoftheContractfortheSubcontract下列文件应被视为分包合同协议书的组成部分，并应作为其一部分阅读和解释：Thefollowingdocumentsshallbedeemedtobetheintegralpartof,andshallbereadandconstruedaspartof,thisAgreementfortheSubcontract.上述文件应互为补充和解释，如有不一致，以所列顺序在前的为准。在分包合同执行过程中，双方当事人的确认、备忘录、会谈纪要、分包合同修订及其他有关的文件、协议等，经双方当

8、事人签署后亦为分包合同的有效组成部分。分包合同修订的内容取代原文件内容和其与此相矛盾的约定。在安装工程技术规范中，特殊技术规范优于一般技术规范。Theabovedocumentsshallsupplementandexplaineachother；andincaseofinconsistency,theorderlistedpriorshallprevail.Inthecourseoftheexecutionofthesubcontract,theconfirmations,memoranda,meetingminutes,amendmentstothecontractandotherdocu

9、mentsandagreementsrelatingtothecontractsignedbytheauthorizedrepresentativesofthepartiesshallalsobeavalidpartofthiscontract.Theamendmentstothesubcontractsupersedethecontentsoftheoriginaldocumentsandotheragreementsthatcontradictthesame.InthetechnicalspecificationsOfInstaIIationWorks,thespecialtechnica

10、lspecificationswillprevailtothegeneraltechnicalspecifications.3 .主要义务3.Mainobligations鉴于承包商将按下文所述向分包商支付安装工程款项，分包商特此与承包商立约，遵守分包合同的约定，自负费用承担安装工程的实施、完成并修复其中的任何缺陷，并履行安装工程质量及其健康、安全和环境义务。鉴于分包商将承担分包合同约定的安装工程的实施、完成并修复其中的任何缺陷，承包商特此立约，按照分包合同约定的时间和方式，向分包商支付分包合同价款。WHEREAStheContractorwilleffectpaymenttotheSubco

11、ntractorfortheInstallationWorksasdescribedbelow,theSubcontractorherebycovenantswiththeContractortocomplywiththeprovisionshereofandtoundertakeatitsownexpensetheexecution,completionandrepairofanydefectsintheInstallationWorksinadditiontofulfillthequalityoftheInstallationWorksandtheobligationsofhealth,s

12、afetyandenvironmental.WHEREAStheSubcontractorwillundertaketheexecution,completionandrepairofanydefectsintheSubcontractWorkspecifiedintheSubcontracttheContractorherebycovenantstopaytheSubcontractPricetotheSubcontractoratthetimeandinthemannerherein.安装工程内容和范围4 .Contentsandscopeofthesubcontractedworks分包

13、合同协议书项下的安装工程内容和范围包括：dscopeoftheInstallationWorksundertheSubcontractAgreementinclude.分包合同工期6. Workperiodofthesubcontract分包合同工期自承包商签发安装工程开工通知书之日起算，工期为日历天。TheworkdurationofthesubcontractiscalendardaysfromtheissuancedateofthenoticetocommencetheInstallationWorksbytheContractor.分包合同生效7. Theeffectivenessof

14、subcontract除非分包合同另有约定外，分包合同在分包合同协议书经承包商和分包商双方法定代表人或其授权代表签字并加盖公章或合同专用章后生效。Unlessotherwisespecifiedinthesubcontract,thesubcontractshallenterintoforceuponsigningthesubcontractagreementbythelegalrepresentativesofthecontractorandtheSubcontractorortheirauthorizedrepresentativesandbeingsealedwiththeofficialsealorthespecialcontractseal.
