1、发电机加工和装配协议（中英文对照）ThisAgreementisherebymadebetweenSichuanEngineManufactureCompany（hereinafterreferredtoasPartyA）andHongKangShippingMachineCompany（hereinafterreferredtoasPartyB）thisdayof15thJulyz2011,inChina,ontheprincipleofequalityandmutualbenefitandthroughamicableconsultation.本协议于一年_月_日在某电机制造公司（此后称为

2、甲方）和香港船舶机器公司（此后称为乙方）之间，通过友好协商，在平等互利的基础上签订。（当事方主体信息略）Article1Introduction第1条介绍A. PartyBagreestomanufacturetheproducts,usingtherawmaterialssuppliedbyPartyA,instrictcompliancewiththestandardsandspecificationsstipulatedintheagreement.乙方同意用甲方所提供的原料，严格按照本协议中的标准和规格，来生产下述产品。B. Commodityandquantitiesforproce

3、ssing加工产品和数量a. Commodity:shippingdynamotor产品船舶发电机b. Quantity2000sets数量2千套Article 2 Specifications第2条规格Onthebasisofdynamotorprototypes,drawingsandproductsamplesfurnishedtoPartyAzbothpartiesShalljointlyestablishallspecificationsinsufficientdetailnecessaryfortheproduction.Thespecificationsshalldealwith

4、thequalityofthematerialsusedandstandardsoftheproducts.Thespecifications,onceestablishedbybothparties,shallbemodifiedonlyuponmutualwrittenagreementofbothparties.在提供给甲方的电动机原型机，图纸和产品样品的基础上，双方共同建立足以用于生产的必要的所有规格。这些规格将用于所用材料的质量和标准。这些规格，一旦由双方建立，只有通过双方的书面材料才能进行修改。Article 3 SupplyoftheRawMaterials第3条原材料供应A.

5、Duringthetermoftheagreement,PartyAshalldelivertoPartyBsuchquantityoftherawmaterialsandconsumptionarticlesasmayberequiredforthemanufacturingoftheproductsnolaterthantwo(2)monthsbeforecalendarquarter.在本协议期间，甲方应在每个季度前不迟于2个月向乙方运送可能用于产品生产的以下数量的原材料和消耗品。B. PartyBshallinspecttherawmaterialsandconsumptionarti

6、clessuppliedbyPartyAimmediatelyuponreceiptthereofinaccordancewiththemethodofinspectiontobeagreedbyPartyA,andshallsubmitinspectionreportstoPartyA,andwithinthirty(30)daysaftertheinspection.TherawmaterialsandconsumptionarticlesthatdonotmeetrequirementofPartyAshallnotbeusedintheprocessing(orassembly).乙方

7、在收到由甲方所提供的原材料和消耗品之后，应立即根据甲方所同意的检验方法对其进行检验，并且应在检验的30天内，把检验报告递交给甲方。那些不符合甲方要求的原材料和消耗品不应用于加工(或装配)。Article 4 ProcessingandAssemblyFee第4条加工和装配费Theprocessingfeeforeachmodelasfollows:每种型号的加工费如下所示：a. ModelAatUSdollars500(SayUSdollarFivehundredonly)eachset.A型号每套500美元。b. ModelBatUSdollars400(SayUSdollarFourhun

8、dredonly)eachset.B型号每只400美元c. Theprocessing(orassembly)feementioned-aboveshallremainunchangedforthefirstyearzsperiod.Afterthesaidtwo(2)yearsperiod,PartyBmaychangethefeesbygivingPartyAawrittennoticeofchangenolessthanthree(3)monthspriortothechange.IncasethatPartyAdoesnotacceptsuchchangeoftheprocessing

9、feewithintwo(2)monthsfromthereceiptofthesaidnoticetheagreementshallbeterminated.以上所述的加工(或装配费)将在第一年内保持不变。在上述的2年期限内，乙方可以在变化前的3月之内以书面形式通知甲方改变事宜。万一甲方在收到上述通知的2个月内不接受加工费的改变，本协议将终结。Article 5 TermofPayment第5条付款方式Forpaymentoftheprocessing(orassembly)feezPartyAshallopenaconfirmedirrevocable1./CinfavorofPartyB

10、withabankapprovedbyPartyB,fortheamountenoughtocovereachshipmentoftheproductsatleastfifteen(15)daysbeforesuchshipment.The1./Cshallbenegotiatedagainstcommercialinvoices,fullsetofbilloflading,packingIistzinspectioncertificateandofPartyB.关于加工(或装配)费的付款，甲方应在此装运前至少15日之内，通过由乙方所认可的银行，以乙方为受益人，开具一保兑的、不可撤销信用证，其

11、金额足以满足每批产品的出运需要。此信用证应可以由商业发票，完整一套提单，装箱单，检验单和乙方的进行议付。Article 6 TechnicalInformationandAssistance第6条技术技术和协助A. PartyAagreestofurnishPartyBwithprocessing(orassembly)drawings,processing(orassembly)instructionsandtestandinspectionstandardsnecessaryforprocessing(orassembly)oftheproducts.甲方同意给乙方提供必要用于产品加工（或

12、装配）的加工（或装配）图纸，加工（或装配）指导，和测试和检验标准。B. PartyAagreestoprovidePartyBwithappropriateadviceagainstproblemsofPartyBrelatingtothetechnicalmattersforprocessing（orassembly）ofproducts.甲方同意给乙方提供和加工（或装配）产品的技术事宜有关的解决问题的适当建议。C. UponrequestofPartyBduringthetermsoftheagreement,PartyAmaydispatchitsownengineersandtechn

13、icianstoPartyBsfactorytogiveadviceandguidancewhichPartyAthinksappropriateinrelationtoassemblyoftheproducts.AlltheexpensesrelatingtotheengineersandtechniciansaretobebornebyPartyB.在协议期间，根据乙方的请求，甲方可以向乙方派遣其工程师和技术人员到乙方的工厂，给予甲方认为和产品加工有关的建议和指导。工程和技术人员的相关费用由乙方承担。D. UponrequestofPartyBduringthetermsoftheagre

14、ement,PartyAagrees,onceinall,amaximumof5engineersandtechniciansofPartyBtostayatPartyAsfactoryforaperiodofnotexceeding10daysandgivethemtrainingwhichPartyAthinksappropriateinrelationtoassemblyoftheproducts.ThetravelingandlivingexpensesofthepersonnelofPartyBshallbebornebyPartyB.在本协议期间，根据乙方的要求，甲方同意，一次性的

15、，乙方最多5名工程师和技术员到甲方的工厂，逗留时间不超过10日，给予他们甲方认为和产品装配有关的培训。乙方人员的旅行费用和居住费用应由乙方承当。Article 7 QualityControlandInspection第7条质量控制和检验A. Whentheprocessingiscompleted,thefinishedproductsshallbeinspectedbytheauthorityagreedbyPartyAtoverifythattheproductsareuptothequalitystandardsandspecificationsdesignatedbyPartyA.当

16、加工完成时，成品应由甲方所认可的权威机构进行检验，来证实产品成本达到了甲方所确定的质量标准和规格。B. IncasetheproductsdoesnotmeetthestandardsofPartyA,PartyAcanrefusethedelivery.However,PartyAmayacceptthedeliveryoftheproductsatthediscountpricetobeagreedbetweenPartyAandPartyBonacase-by-casebasis.万一产品没有达到甲方的标准，甲方可以拒收此货物。然而，甲方可以在个别案例的基础上，以甲、乙双方都同意的打折的价格接受此批货物。C. AllchangesinthequalityandspecificationsshallbeinformedtoPartyAtwenty(20)dayspri
